1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Ourea Systems FZ-LLC ("Ourea," "we," "us," or "our"), a company incorporated in the Dubai International Financial Centre (DIFC), United Arab Emirates, with its principal place of business at Cluster R, Jumeirah Lakes Towers, Dubai, UAE. By accessing or using our websites (including ourea.com), products, applications, or services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accessing the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Description of Services

Ourea provides technology infrastructure for financial services through two primary SaaS platforms:

• OneView — A wealth management platform that unifies portfolio data across providers, delivers real-time insights, and empowers advisors, clients, and operations teams. OneView enables financial institutions to aggregate, analyse, and report on client assets through a single intelligence layer.
• OneApprove — A KYC and compliance platform designed for regulated industries in the UAE and beyond. OneApprove streamlines client onboarding, identity verification, and ongoing due diligence for banks, wealth managers, real estate firms, and other regulated entities.

Our Services may also include associated websites, APIs, documentation, support, and professional services. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. User Accounts and Registration

Access to certain Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access or use of your account. We are not liable for any loss or damage arising from your failure to comply with these security obligations.

Accounts are typically provisioned by your organisation's administrator. If you are an end-user, your access may be subject to additional terms agreed between Ourea and your organisation.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services in any way that violates applicable laws, regulations, or third-party rights;
• Attempt to gain unauthorised access to the Services, other accounts, or any systems or networks;
• Transmit any malware, viruses, or other harmful code;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer, decompile, or disassemble any part of the Services (except to the extent permitted by applicable law);
• Use the Services to build a competing product or service;
• Scrape, harvest, or collect data from the Services through automated means without our prior written consent;
• Use the Services to process, store, or transmit data in violation of any regulatory or contractual obligations applicable to you or your organisation.

We may suspend or terminate your access if we reasonably believe you have violated this Acceptable Use Policy.

5. Intellectual Property Rights

All intellectual property rights in the Services, including but not limited to software, documentation, designs, trademarks, logos, and content, are owned by Ourea or our licensors. Nothing in these Terms grants you any right, title, or interest in any such intellectual property except the limited licence to use the Services as permitted herein. You may not copy, modify, distribute, sell, or create derivative works of the Services without our express written consent.

If you provide us with feedback, suggestions, or ideas regarding the Services, you grant Ourea a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without obligation to you.

6. Data Processing and Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect personal data. By using the Services, you consent to such processing. Where we process personal data on behalf of your organisation as a data processor, the terms of our data processing agreement (if applicable) shall apply in addition to these Terms.

You are responsible for ensuring that your use of the Services complies with applicable data protection laws, including obtaining any necessary consents from individuals whose data you submit through the Services.

7. Service Level and Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. Scheduled maintenance may be performed with reasonable advance notice where practicable. Service levels, including uptime commitments and support response times, may be specified in separate service level agreements ("SLAs") for enterprise customers. In the absence of an SLA, we provide the Services on an "as is" and "as available" basis.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Ourea and its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the fees paid by you (or your organisation) for the Services in the twelve (12) months preceding the claim, or (b) one hundred United States dollars (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ourea and its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; (d) any content or data you submit through the Services; or (e) any dispute between you and a third party. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.

If you have a paid subscription, termination may be subject to the terms of your subscription agreement. You may terminate your account at any time by contacting us or through your organisation's administrator.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the DIFC.

12. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services. For enterprise customers with a written agreement, changes may be governed by the terms of that agreement.
